These Terms of Service are a contract between you and Klik Til Kunder, CVR 37876674, Ole Jørgensens Gade 7, st. th., 2200 København, Denmark (“we”, “us”, “our”), for the use of Agentrix at agentrix.one.
Contact: hello@agentrix.one.
Personal data is described in our Privacy Policy. If we have signed a data processing agreement with you, that agreement governs personal data we process as your processor.
01Agreement
You accept these terms by creating an account, using Agentrix, or signing an order that refers to them. If you do not accept them, do not use the service.
If you accept for a company or other organisation, you confirm you have authority to bind it. “You” then means that organisation, and the people who use Agentrix under it.
Agentrix is for business and professional use. By accepting, you confirm you are not acting as a consumer. You must be at least 18 years old.
02The service
Agentrix is software we host. It lets you build and publish websites and landing pages, connect Google Ads and Meta advertising accounts, use automated agents on those same materials, measure visitors to sites you publish, and give access to people and systems you authorise.
We may add, change, or withdraw features. We will not use that right to take away the core of a paid plan during a period you have already paid for, except where a third-party platform or the law forces it.
Figures you see in Agentrix for advertising performance are taken from Google and Meta and may lag or differ from what those platforms show. Their numbers are the ones that matter for billing and delivery on those platforms.
We do not run your advertising accounts for you and we do not promise any business result.
03Accounts and organisations
You must give accurate account details and keep them current. You are responsible for credentials issued to your organisation, including passwords, invite links, API keys, and connections you approve. Activity under those credentials is yours.
You decide who is a member of your organisation and what they may do. If you are an agency and you work in a client organisation, you confirm you are allowed to do so.
We may refuse, suspend, or close an account where these terms are broken, where we are required to by law, or where continued access would put the service or another customer at risk.
04Your materials
You keep ownership of the sites, pages, files, knowledge, campaigns, and other materials you put into Agentrix or create with it.
You grant us a licence to host, copy, transmit, and display those materials, and to send them to the providers needed to run the service (including model providers and Google and Meta when you have connected them), only to provide Agentrix and only while we hold them.
You confirm you have the rights needed for that licence, including rights in text, images, trade marks, personal data, and domains you attach.
When a site is published through Agentrix, you are the publisher. You are responsible for that site’s content, for what you tell its visitors, and for any tags or forms you put on it.
If you point a domain at Agentrix, you confirm you control that domain.
05Automated agents
Agents act on your instructions and on the settings you choose for your organisation, including when you allow them to write to live pages or live ad accounts without a further approval step.
You are responsible for what is generated and for what is published or sent to Google or Meta. We do not warrant that outputs are accurate, lawful, or fit for a particular campaign.
06Google and Meta
Connecting an advertising account is optional. If you connect one, you authorise us to access and act on that account as the service requires.
Your use of those connections is also governed by Google’s and Meta’s terms and policies. You must comply with them. You are responsible for campaigns, creatives, targeting, budgets, and spend on those platforms.
Data obtained through those connections may be used only to operate your advertising in Agentrix. You will not sell it, licence it, or use it for a purpose those platforms forbid. You will delete it when you no longer need it, when Google or Meta require it, or when your account ends, and you will keep it secure. Where those platforms or the law require notices to end users, you give them.
We may suspend a connection if the platform requires it or if continued use would put our access, or other customers, at risk.
07Acceptable use
You will not use Agentrix to:
- break the law, or run advertising or sites that break the law
- break Google’s or Meta’s advertising or platform rules
- attack, overload, or probe the service, or bypass its access controls
- copy the service in order to build a substitute for it
- share access with someone who is not allowed to have it
- send malware or run deceptive or fraudulent schemes
- use the service in, or for the benefit of anyone in, a country or for a person subject to EU or US sanctions
You will not use Agentrix in a way that causes us to break our agreements with Google, Meta, or our infrastructure providers.
08Fees
Paid plans, prices, and billing intervals are shown on agentrix.one and at checkout. Prices are exclusive of VAT and other taxes, which are added where they apply. Charges are in the currency shown at checkout and are collected by Stripe.
Fees are billed in advance for the period you select. The subscription renews for the same period until you cancel. Renewal is charged at the price then in force for your plan.
We may change prices. A change that affects a subscription you already have takes effect at the start of the next period, and only after at least 30 days’ notice to the email on the account. If you do not accept the new price, cancel before it applies. You keep the current price until that period ends.
Except where mandatory law requires otherwise, fees already paid are not refunded, including for time you did not use. Refunds when we end the contract for our own convenience are in Section 12.
Unpaid amounts may lead to suspension. Access returns when the debt is paid. Overdue sums carry interest at the statutory rate under Danish law. We may recover reasonable collection costs.
09Our intellectual property
Agentrix — the software, design, names, and documentation — is ours. We give you a limited, non-exclusive right to use it as these terms allow, for the term of your account. You do not get any other right in it.
We may name you as a customer and use your organisation’s name and logo for that purpose. You may withdraw that permission by writing to hello@agentrix.one. We will remove the reference within a reasonable time.
10Confidentiality
Each side may see information of the other that is not public and that a reasonable person would treat as confidential. Each side will use that information only to perform this contract, will protect it with at least reasonable care, and will disclose it only to people and providers who need it and are bound to keep it confidential.
This does not apply to information that is public, already lawfully known, independently developed, or that must be disclosed by law. Where the law allows, the disclosing side will be told first.
These duties last for three years after the contract ends.
11Availability and support
The service is provided as it stands and as it is available. We work to keep it running. We do not promise uninterrupted access, and we do not promise a particular response time.
The service depends on third parties, including Google, Meta, Stripe, and our hosting and model providers. Interruptions on their side are outside our control.
We may take the service down for maintenance. We will give notice of planned downtime where we reasonably can.
Support is by email to hello@agentrix.one for paying customers. It covers use of Agentrix. It does not cover advertising strategy, campaign management, or your Google, Meta, or DNS accounts.
Features we label as beta are provided as they stand, may change or be removed without notice, and are not covered by support commitments.
12Term and end
You may close your account at any time by writing to hello@agentrix.one or, where the product allows it, in the account settings. Closing does not refund a period already paid, except where mandatory law requires it.
We may end or suspend the contract:
- at once, if you use the service unlawfully, abuse it, or create a serious risk to the service or to others
- on 30 days’ notice, for non-payment or other breach that is not put right
- on 30 days’ notice, if we stop offering the service or a material part of it
If we end the contract for our convenience and not for your breach, we will refund prepaid fees for the unused part of the then-current period.
When an organisation is archived, you have 90 days to restore it or export what you need. After that we delete organisation data as described in the Privacy Policy. You may ask us to delete sooner. Deletion is permanent. Invoices and other records we must keep by law are kept for the required period.
13Liability
To the extent Danish law allows, we give no warranty that Agentrix will meet a particular purpose, produce a particular result, or be free of errors.
We are not liable for indirect or consequential loss, or for lost profit, lost revenue, wasted advertising spend, or loss of data, except where that liability cannot be limited.
Our total liability for all claims arising out of this contract is limited to the fees you paid us for Agentrix in the six months before the event that gave rise to the claim.
Nothing in these terms limits liability for our intentional misconduct or gross negligence, or any liability that mandatory Danish law does not allow us to limit.
14Indemnity
You will indemnify us against claims, damages, and reasonable legal costs arising from your materials, your sites, your advertising, your use of Agentrix, your breach of these terms, or your breach of law or of Google’s or Meta’s rules.
15Changes to these terms
We may change these terms. For a change that is material, we will give at least 14 days’ notice to the email on the account or in the product. If you continue to use Agentrix after the change takes effect, you accept it. If you do not, close the account before it takes effect.
Corrections and clarifications that do not change the bargain may take effect at once.
16Events outside our control
We are not responsible for delay or failure caused by events we cannot reasonably control, including failures or rule changes at Google, Meta, Stripe, or our hosting and model providers, network failures, and acts of public authorities.
17General
These terms, the Privacy Policy, any data processing agreement we have signed with you, and any order that refers to them, are the whole agreement for Agentrix.
If those documents conflict: the order first; then the data processing agreement for personal data we process as your processor; then these terms; then the Privacy Policy.
We may assign this contract, including in a sale of the business. You may not assign it without our written consent.
A failure to enforce a term is not a waiver. A waiver must be in writing.
If a term is invalid, it is cut back only as far as required. The rest stays in force.
Notices to you go to the email on the account or appear in the product. Notices to us go to hello@agentrix.one. A notice sent on a business day is received that day; otherwise on the next business day.
These terms may be accepted electronically.
18Law
Danish law governs these terms. The courts of Copenhagen have jurisdiction.
The English text is the governing text. A translation is for convenience only.
The parties will try to resolve a dispute in good faith before filing a claim.
